Agreement to Terms

By accessing or using the Txtmi platform and SMS service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Txtmi ("we," "our," or "us"). Please read them carefully.

Description of Service

Txtmi provides a two-way SMS-based conversational AI companion service. The Service allows users to engage in ongoing, personalized conversations with an AI assistant via text message. The Service is designed for conversational, supportive, and informational purposes.

Eligibility

You must be at least 18 years of age to use the Service. By using Txtmi, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Account Registration and Opt-In

To use the Service, you must register through the Txtmi application and explicitly opt in to receive SMS messages. By opting in, you:

  • Consent to receive SMS messages from Txtmi at the phone number you provide
  • Confirm that you are the owner or authorized user of that phone number
  • Understand that message and data rates may apply
  • Acknowledge that message frequency varies based on your usage

Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to harm, abuse, harass, or exploit the AI system
  • Use the Service to generate harmful, abusive, or illegal content
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to reverse engineer, decompile, or extract the AI models
  • Use the Service in any way that violates applicable laws or regulations

AI Limitations

You acknowledge and understand that:

  • Txtmi is an AI-powered service and not a human. Responses are generated by artificial intelligence.
  • The Service is not a substitute for professional medical, legal, financial, or mental health advice. If you need professional assistance, please consult a qualified professional.
  • AI responses may occasionally be inaccurate, incomplete, or inappropriate. You should not rely solely on the Service for critical decisions.
  • The Service is provided for conversational and supportive purposes only.

Opting Out and Termination

You may opt out of the Service at any time by replying STOP to any SMS message from Txtmi. You may also terminate your account through the Txtmi application.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms.

Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Txtmi and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TXTMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify and hold harmless Txtmi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.

Notwithstanding the foregoing, when providing services to users located in the United States, Txtmi complies with applicable U.S. federal and state laws, including:

  • Telephone Consumer Protection Act (TCPA): We obtain proper consent before sending SMS messages and honor all opt-out requests.
  • CTIA Messaging Guidelines: We adhere to industry best practices for Application-to-Person (A2P) messaging compliance.
  • State Consumer Protection Laws: We comply with applicable state regulations, including California consumer protection requirements.
